Acceptance of Terms

By visiting and using Zephoric's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. Your use of our platform constitutes your acceptance of these terms and conditions. We reserve the right to modify these terms at any time, and your continued use of the service following any such modification constitutes your acceptance of the updated terms.

If you do not agree to any portion of these terms, you must immediately cease using the Zephoric platform and associated services. Your use of Zephoric is conditional upon your ongoing compliance with these Terms of Service.

Membership Eligibility

To access and use Zephoric's membership services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Reside in a jurisdiction where Zephoric services are legally available
• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your account credentials and passwords
• Be of good moral and professional standing within your industry

Zephoric reserves the right to deny, suspend, or terminate membership to any individual who fails to meet these eligibility requirements or who violates any provisions of these Terms of Service. We further reserve the right to verify information provided during registration and to request additional documentation as needed.

Service Description

Zephoric provides an exclusive membership platform offering curated resources, industry insights, networking opportunities, and premium content to carefully selected members. Our services include:

• Access to proprietary research, analysis, and market intelligence
• Participation in exclusive events, conferences, and networking sessions
• Member-only digital resources and educational materials
• Direct access to industry experts and thought leaders
• Advisory services and strategic consultation (where applicable to membership tier)
• Digital library and archival access to all previously published content

Services are provided "as-is" and "as-available." Zephoric makes no guarantees regarding service availability, uptime, or functionality. We may modify, enhance, restrict, or discontinue any service offering at our sole discretion, with appropriate notice provided to members where applicable.

Membership Tiers

Zephoric offers multiple membership tiers, each with distinct features, benefits, and associated fees. Membership tier eligibility is determined by our selection committee based on professional background, industry experience, and alignment with Zephoric values.

• Voyager: Entry-level membership with access to core resources and quarterly events
• Navigator: Enhanced membership including monthly events and priority content access
• Sage: Premium tier featuring unlimited consulting hours and VIP event access
• Luminary: Elite membership with personalized strategic guidance and exclusive advisory board participation

Membership tier details, feature comparisons, and pricing are available on our membership page. Zephoric reserves the right to modify membership tiers, features, and associated pricing with 60 days' written notice to existing members.

Fees, Billing, and Payments

Membership fees are charged on a subscription basis, either monthly or annually, depending on the selected membership tier and billing cycle preference. All fees are exclusive of applicable taxes, which will be added where required by law.

Payment Terms:

• Payment is due in full on the date of renewal unless alternative payment arrangements have been approved
• Fees are non-refundable except where required by applicable law
• We accept major credit cards and bank transfers for payment
• Late payment may result in suspension of service access pending payment resolution

Billing and Renewal:

• Membership automatically renews on your renewal date unless cancelled in accordance with our cancellation policy
• We will notify you 14 days prior to renewal of the amounts due
• You may cancel your membership at any time by contacting our Member Services team

Zephoric reserves the right to modify membership fees with 60 days' written notice. Such modifications will apply to renewals occurring after the effective date of the price change, not to existing active memberships during their current billing period.

Confidentiality and Non-Disclosure Agreement

As a member of Zephoric, you acknowledge that you will have access to confidential information, proprietary research, and sensitive business intelligence. By accepting membership, you agree to maintain the strictest confidentiality regarding all information disclosed through the Zephoric platform.

Confidentiality Obligations:

• All proprietary content, research, methodologies, and insights remain the exclusive property of Zephoric
• You agree not to disclose, reproduce, or transmit any proprietary information to third parties without express written consent
• Confidential information may only be used for the purpose of your membership with Zephoric
• You shall protect confidential information with the same level of care as your own proprietary information
• Confidentiality obligations survive termination of membership indefinitely

Permitted Disclosures:

You may disclose confidential information only when required by law, court order, or regulatory authority, provided that you give Zephoric prompt written notice to allow us to seek protective measures.

Breach of these confidentiality obligations may result in immediate termination of membership, forfeiture of fees, and legal action to recover damages and obtain injunctive relief.

Intellectual Property Rights

All content, materials, design, text, graphics, logos, images, audio, video, and software available through Zephoric (collectively, "Content") are the exclusive intellectual property of Zephoric or our licensors. All rights are reserved.

License Grant:

Your membership grants you a limited, non-exclusive, non-transferable license to access and use the Content solely for personal, non-commercial purposes in connection with your active membership. This license does not grant you any right to:

• Reproduce or copy Content except as required for personal use
• Modify, translate, adapt, or create derivative works based on Content
• Rent, lease, or lend the Content
• Transfer, sublicense, or resell Content or access rights
• Reverse engineer, decompile, or disassemble any software components
• Remove or obscure any proprietary notices or attribution

User-Generated Content:

Any content, comments, or materials you submit through Zephoric ("User Content") remains your intellectual property. However, by submitting User Content, you grant Zephoric a worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and display such content for operational and promotional purposes.

You represent and warrant that you own or have obtained all necessary rights to any User Content submitted and that such content does not infringe upon any third-party intellectual property rights.

Limitation of Liability

Zephoric's total liability to you for all claims arising from or relating to these Terms of Service or your use of Zephoric's services shall not exceed the total fees paid by you in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of consequential or incidental damages, so the above limitations may not apply to you. In such cases, liability shall be limited to the fullest extent permitted by law.

You acknowledge that the disclaimers and limitations of liability in these terms reflect a reasonable allocation of risk and are fundamental elements upon which Zephoric's pricing and service offering are based.

Termination of Membership

Member-Initiated Termination:

You may terminate your Zephoric membership at any time by providing written notice to our Member Services team. Termination is effective at the end of your current billing period. Membership fees are non-refundable following termination.

Zephoric-Initiated Termination:

Zephoric may terminate or suspend your membership at any time for:

• Breach of these Terms of Service
• Violation of confidentiality or non-disclosure obligations
• Unethical or illegal conduct
• Non-payment of fees
• Conduct deemed harmful to Zephoric's reputation or other members
• Misuse of proprietary information or Content
• Any other violation of membership requirements

Effect of Termination:

Upon termination of membership for any reason:

• Your access to Zephoric services and Content shall be immediately revoked
• All licenses granted to you shall terminate
• You remain bound by confidentiality and intellectual property provisions
• Any outstanding fees become immediately due
• Zephoric may pursue remedies available at law or in equity

Dispute Resolution

Informal Resolution:

Before initiating any formal proceedings, you agree to attempt to resolve any dispute by first sending written notice to Zephoric describing the nature of the dispute, the relief sought, and your proposed resolution. Zephoric will respond within 15 business days with a good-faith effort to resolve the matter.

Binding Arbitration:

If informal resolution fails, any dispute, controversy, or claim arising from or relating to these Terms of Service or your membership shall be resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Rules of Arbitration.

• The arbitration shall be conducted in English
• The seat of arbitration shall be London, United Kingdom
• One arbitrator shall preside unless the claim exceeds £100,000, in which case three arbitrators shall be appointed
• Each party shall bear its own costs, with arbitrator fees split equally

Injunctive Relief:

Notwithstanding the arbitration provision, you acknowledge that breach of confidentiality or intellectual property provisions may cause irreparable harm for which damages are an insufficient remedy. Zephoric retains the right to seek injunctive relief in any court of competent jurisdiction.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

You consent to the exclusive jurisdiction of the courts of England and Wales for any legal proceedings that are not subject to binding arbitration as set forth in Section 10 of these Terms.

By accessing Zephoric, you consent to personal jurisdiction and venue in England and Wales and waive any objection to inconvenient forum.

Amendments and Modifications

Zephoric reserves the right to modify these Terms of Service at any time. We will provide notice of material changes at least 30 days prior to the effective date. Your continued use of Zephoric following such notice constitutes your acceptance of the modified terms.

Non-material changes, clarifications, and technical corrections may be made effective immediately without notice. If you do not agree to any modification, your sole remedy is to terminate your membership.

Zephoric shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service or these Terms of Service, except as expressly provided in these terms.
